Last updated: 15 September 2026. These terms apply to services supplied for business purposes. They should be read with the applicable proposal, quotation, scope, invoice and project-specific written confirmations.

1. About Ascension Creative

Ascension Creative Limited is registered in Scotland under company number SC898125. Our business correspondence address is Office 1, Technology House, Newton Place, Glasgow G3 7PR. In these terms, Ascension Creative Limited is referred to as Ascension Creative, we, us or our.

These terms apply to limited companies, partnerships and sole traders acting in the course of business. We are not currently registered for VAT and do not currently add VAT to our charges. If our tax status changes, future quotations or ongoing charges may be adjusted where legally required and with appropriate notice.

2. The agreement and project scope

These terms apply when we supply a website, branding, creative, advertising, marketing, hosting or related commercial service. A project-specific written arrangement takes priority if it conflicts with these general terms.

A customer may accept an agreement in writing, by signing or ticking an acceptance box, by paying after receiving the scope and terms, or by instructing us to begin after receiving them. Electronic communications count as written communication.

Each project will have written confirmation of its material scope, price, payment arrangement and estimated delivery period. Reasonable details may develop during production while remaining within the agreed purpose. Work outside scope will be separately assessed and will not begin without customer approval of any additional price or material timing change.

3. Pricing and payment

Projects are priced individually. The agreed arrangement may require payment in advance, a deposit and balance, milestones, recurring payments or another written structure. Payment may be made by bank transfer, card, Direct Debit, recurring card billing, cash where agreed, or another approved method.

Unless otherwise agreed, the full balance must be paid before a website is launched publicly, deployable files are supplied, ownership is transferred or final deliverables are released. Recurring services are normally charged in advance.

4. Overdue or failed payments

If payment is overdue, we may pause work, withhold deliverables, suspend campaign management or suspend a service we provide directly. Work returns to the production schedule according to current capacity after payment. Cancelling or reversing a payment instruction is not notice of cancellation and does not remove money already owed.

We may pass on direct costs caused by failed, reversed or disputed payments and reserve our legal rights regarding statutory interest and reasonable debt-recovery costs.

5. Project cancellation and refunds

A business customer may request cancellation within 14 days after accepting a project. This is a contractual request period and does not suggest that every business purchase has a statutory consumer cooling-off right.

If no work has begun and no non-recoverable cost has been incurred, we will normally refund money paid less unavoidable payment, supplier or administrative costs. Once work or supplier commitments have begun, we may retain the greater of 10% of the total fee or the reasonable value of work completed and costs committed. After 14 days there is no automatic right to a refund. We will account reasonably for work completed, reserved capacity and non-recoverable commitments.

6. Customer delays

The customer must provide the information, materials, access, decisions, feedback and approvals reasonably required. Delivery estimates move where the customer contributes to delay. After 21 days without required input, we may pause the project and remove it from active production. After 60 days it may be treated as dormant. After 90 days we may require a formal review, refreshed scope or reasonable additional charge. After six months, we may issue a final 14-day notice and then close the project using the cancellation accounting above.

7. Delivery, presentation and revisions

Delivery periods are estimates unless a project-specific arrangement expressly guarantees a date. A standard bespoke website may ordinarily take up to approximately eight weeks, while a multi-part project may take up to approximately twelve weeks. The applicable confirmation governs the project.

Unless otherwise agreed, a bespoke website includes an initial presentation followed by up to three consolidated revision rounds. Feedback must be combined rather than provided piecemeal. Approval of a direction permits us to proceed on that basis. A later fundamental redesign or substantial structural change may be treated as additional work.

8. Copy, content and customer approval

We may prepare copy and content using discovery, research and customer materials. The customer must review and approve all content before publication, including claims, prices, photographs, testimonials, logos, products and services. The customer is responsible for factual accuracy, legality, regulatory compliance and intellectual-property permissions. Approval for launch confirms that the customer has reviewed and accepted the applicable content.

9. Privacy, cookies and legal content

General privacy, cookie or related pages supplied as part of a project are general website provisions and are not specialist legal, regulatory or data-protection advice. The customer remains responsible for ensuring its own activities, forms, tracking, advertising, marketing and data handling comply with applicable obligations.

10. Ownership

After a paid project is paid in full, the customer owns the completed customer-specific deliverables created under the scope, subject to legitimate third-party rights and licences. We retain reusable code, components, frameworks, production methods, internal systems, working files not included in the deliverables, rejected concepts and unrelated reusable materials.

Website ownership does not include our server, hosting account, control panel, infrastructure or an entitlement to continuing hosting without payment.

11. Hosting, domains and email

Managed hosting through Ascension Creative, Lighthouse Managed Hosting or another provider may be recommended but is not compulsory for a fully paid project. The appointed provider will be identified before launch. An independent provider's terms govern its hosting relationship.

Where we provide hosting directly, the separately confirmed service may include hosting, backups, SSL management, maintenance, monitoring, support, software updates, email setup and an allowance for light changes. Hosting normally continues monthly with 30 days' written notice. We may suspend hosting after 14 days of non-payment and terminate it after 60 days.

The customer owns its domain. Where we manage a standard domain renewal, the current annual charge is £50 unless agreed otherwise. Premium or unusually priced domains are quoted separately. Customer and third-party server or source access is not provided as standard.

12. Leaving our hosting

A customer with a fully paid website may request a usable deployable export. The standard preparation charge is £100 and outstanding legitimate charges must first be paid. The export does not include server credentials, hosting accounts, internal systems, unrelated tools or third-party property. Further migration assistance may be quoted separately.

13. Funded website arrangements

A funded arrangement covers the normal design and development fee in return for an ongoing managed-hosting relationship with the provider identified before onboarding. It normally covers a professional brochure website of up to five core pages, general legal pages, onboarding, strategy, copywriting, design, development, mobile optimisation, forms, standard metadata, a private review and one consolidated revision round.

The normal target is up to 21 days after onboarding and receipt of all required materials. A funded arrangement may restrict an outgoing deployable-file export until 12 completed monthly payments. This is an export condition, not a minimum service term. Provider-specific pricing, retention and cancellation terms will be confirmed before onboarding and take priority.

14. Third-party services and subcontractors

Projects may use third-party hosting, domains, software, licences, fonts, assets, payment providers, analytics, advertising systems, APIs or integrations. Unless included in the project price, the customer is responsible for third-party charges. We are not responsible for interruption, policy changes, suspension or failure outside our reasonable control.

We may use trusted specialists and appropriate technology, including AI-assisted tools, to help deliver work. We remain responsible for managing the contracted service and the quality of the final output. We are not required to disclose every internal production tool or method unless legally required or materially necessary.

15. Portfolio use and confidentiality

Unless confidentiality was agreed beforehand, we may identify the customer and display its name, logo and completed work in our portfolio and promotional materials. We will seek separate permission before publishing confidential details, non-public performance information or commercially sensitive results.

Each party must take reasonable care of genuinely confidential commercial, financial, technical and customer information and use it only where necessary to perform the agreement, work with trusted suppliers, comply with law or obtain advice.

16. Google Ads management

Google Ads management is an ongoing professional service. The customer buys our judgement, setup, monitoring, testing and optimisation, not a guaranteed outcome. Management fees are normally paid in advance and Google advertising spend is paid separately by the customer.

An existing customer-owned account remains the customer's account. If we create a new account as part of our management service, the customer will be told beforehand and the account, campaign structure and optimisation history remain under our ownership and administrative control. When management ends, a customer-owned account remains with the customer. An Ascension-owned account may be paused and retained.

The customer must disclose relevant existing accounts, policy issues and suspensions. New accounts must not be used to bypass Google enforcement. We may refuse or end work that creates a legal, policy, technical or reputational risk.

17. Google Ads setup, budgets and results

Initial review and setup will normally be completed within 14 working days after receiving payment, access and required information. New and changed campaigns need testing and learning. Meaningful results may take three to four months or longer, but no result or timescale is guaranteed.

We may allocate and adjust spend within the agreed overall budget. A material increase to that overall budget requires approval. Google controls delivery and billing, and daily spend may fluctuate under its rules.

The customer is responsible for accurate and lawful business information, maintaining a suitable website, responding to enquiries and giving reasonable sales-quality feedback. We do not guarantee impressions, clicks, enquiries, sales, revenue, profit, return on advertising spend or another commercial result.

18. Ending Google Ads management

Either party may normally end management with 30 days' written notice. Advertising can be paused earlier on request, but management fees remain payable during the notice period. We may suspend or terminate immediately for overdue payment, removed access, serious policy risk, unlawful activity or another material breach.

19. Liability and remedies

We will provide services with reasonable care and skill and must be given a reasonable opportunity to investigate and correct a defect for which we are directly responsible. To the fullest extent permitted by law, we are not liable for indirect or consequential loss or alleged loss of business, customers, enquiries, sales, revenue, profit, opportunity, reputation, ranking, data or anticipated savings.

For a website, branding or bespoke project, total liability that cannot lawfully be excluded will not exceed the amount paid for the specific project giving rise to the claim. For Google Ads management or another recurring service, it will not exceed the management fee paid for the billing period in which the event occurred. Nothing excludes liability that cannot legally be limited, including fraud or death or personal injury caused by negligence.

20. Events outside our control

We are not responsible for delay or failure caused by circumstances outside our reasonable control, including infrastructure failure, platform unavailability, hosting, domain or DNS problems, cyberattack, supplier failure, illness, emergency, government action, changes in law or customer delay. Estimates will move to reflect an interruption.

21. General terms and governing law

The terms in effect when a customer accepts a project govern that project. We may update general terms for future work and will communicate material changes affecting an ongoing service where appropriate. If part of these terms is invalid, the remaining provisions continue. A delay in enforcing a right does not waive it.

These terms and each agreement are governed by the laws of Scotland. The Scottish courts have exclusive jurisdiction, subject to mandatory rights or jurisdictional rules that cannot legally be excluded.

22. Contact and complaints

Questions, complaints and formal notices should be sent to connect@ascensioncreative.co.uk or Ascension Creative Limited, Office 1, Technology House, Newton Place, Glasgow G3 7PR. We ask customers to allow us a reasonable opportunity to investigate and resolve a complaint.
